1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of Doclerk, including its website, applications, and related services (collectively, the "Service"), provided by Invested Enterprise LLC ("Doclerk," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Doclerk provides AI-assisted tools for filing, classifying, indexing, and searching legal documents, including natural-language question answering and automated case timeline generation, for use by law firms and legal professionals in the United States.

3. No Legal Advice; Professional Responsibility

Doclerk is a software tool, not a law firm, and does not practice law, provide legal advice, or create an attorney-client relationship between you and Invested Enterprise LLC. AI-generated classifications, summaries, answers, and timelines are productivity aids only. You are solely responsible for exercising independent professional judgment and for ensuring your use of the Service complies with applicable rules of professional conduct, confidentiality duties, and ethical obligations governing your practice.

4. Accounts and Eligibility

  • You must provide accurate, current information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must be legally authorized to use the Service on behalf of your organization or firm.
  • Notify us immediately of any unauthorized access or suspected security breach.

5. Acceptable Use

You agree not to:

  • Upload content you do not have the right to upload or process.
  • Use the Service to violate any applicable law, regulation, or third party's rights.
  • Upload malicious code or content intended to disrupt or damage the Service.
  • Attempt to reverse engineer, disrupt, or probe the security of the Service.
  • Use automated means to scrape or extract data beyond intended use.
  • Share account access with unauthorized individuals.

6. Your Content and Ownership

You retain all ownership rights to the documents and data you upload ("Your Content"). You grant Doclerk a limited license to host, process, and analyze Your Content solely to provide and improve the Service. We do not use Your Content to train models shared with other customers without your consent. You are solely responsible for Your Content and for having all rights necessary to upload it.

7. AI Processing and Output

The Service uses third-party AI models (including models from OpenAI and Anthropic) to classify, summarize, search, and answer questions about documents. Where your organization configures its own AI provider credentials, your documents are processed using those credentials directly with that provider, subject to the provider's own terms. AI output may contain errors or omissions and should be independently verified before being relied upon for legal, filing, or business decisions. Doclerk is not liable for decisions made solely on the basis of AI-generated output.

8. Fees and Subscriptions

Paid plans are billed in advance on a recurring basis as described at checkout. Fees are exclusive of applicable taxes, which you are responsible for. Fees are non-refundable except as required by law or expressly stated in an order form. We may change pricing with advance notice before your next renewal.

9. Our Intellectual Property

The Service, including its software, design, and trademarks, is owned by Invested Enterprise LLC and protected by intellectual property laws. These Terms do not grant you any right to use our branding or proprietary technology outside the Service.

10. Third-Party Integrations

The Service may connect to third-party platforms you choose to configure, such as Google Drive, for filing and storage. Your use of those integrations is subject to the third party's own terms, and we are not responsible for their acts or omissions.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. INVESTED ENTERPRISE LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Invested Enterprise LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Your Content, your misuse of the Service, your violation of these Terms, your violation of any third party's rights, or your violation of any law or professional obligation.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or risk to the security or integrity of the Service, with notice where reasonably practicable. After termination, we may delete Your Content following the retention period described in our Privacy Policy; you are responsible for exporting any data you wish to retain before that period ends.

15. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles.

16. Dispute Resolution; Arbitration Agreement

Except for claims that may be brought in small claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association [confirm: AAA or JAMS] under its applicable rules, rather than in court. YOU AND INVESTED ENTERPRISE LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Arbitration will take place in the State of Louisiana unless the parties agree otherwise.

17. Miscellaneous

These Terms, together with any order form, constitute the entire agreement between you and Invested Enterprise LLC regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, joint venture, or agency relationship. The sections governing Your Content and Ownership, AI Processing and Output, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution survive termination of these Terms.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Service or email at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.

19. Contact Us

Questions about these Terms can be sent to [contact email] or Invested Enterprise LLC, [full street address], Louisiana.
